The Term Sheet Provisions are as follows:
1. Lead Investor Status
2. Minimum Investment: $650K
3. Minimum Raise: $1MM (must have $1mm in escrow before closing).
4. Control of the Board and, consequently, the company.
5. Preferred Stock
6. Voting Rights
7. Preemptive Rights
The bridge that would get us through April 30th is $25K...that means nothing but payroll and utilities unless we are able to generate some income in the interim. $10K would need to be in tomorrow, the balance by next week.

Some friend you are!!! Sorry, what was I thinking??? You where in Kentucky and did not stop by to see me. I should be thanking you. My only regret is that we missed seeing Hope and the lovely children she gave you. They are beautiful and thank God they have Hope's genes.
I suggest you do not get a D&A test. What you do not know won't hurt you.
